1. About CoverVet
CoverVet Inc. (“CoverVet,” “we,” “us”) is a Delaware corporation operating an online marketplace at cover.vet that connects veterinary hospitals with licensed veterinarians and veterinary technicians for relief shift coverage. These Terms govern your access to and use of the CoverVet platform.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use CoverVet. Practitioners (veterinarians and veterinary technicians) must hold valid, active credentials in the U.S. state(s) where they accept shifts and certify those credentials through the platform’s verification process. Hospitals must represent legitimate veterinary practices authorized to operate in their jurisdiction.
3. The marketplace
Hospitals post shifts specifying date, time, role, pay rate, and location. Practitioners request shifts they wish to fulfill; hospitals approve or decline requests. Hospitals pay CoverVet directly for confirmed shifts, and CoverVet pays practitioners after shift completion, in each case in accordance with these Terms.
4. Platform fee
CoverVet charges a flat platform fee equal to fifteen percent (15%) of the practitioner’s pay rate. The fee is paid by the hospital on top of the practitioner’s rate and is disclosed clearly during shift posting. The practitioner receives 100% of their stated pay rate; CoverVet’s fee is not deducted from the practitioner’s earnings.
5. Payment timing
Hospital payment is authorized at shift confirmation and captured on a schedule disclosed at posting time. Practitioner payouts are typically issued within one to two business days after the shift is marked complete, in accordance with our payment processor’s standard transfer schedule.
5A. Payments agency; discharge of payment obligations
CoverVet is the merchant of record for the platform fee described in Section 4, which is CoverVet’s own revenue in consideration of the marketplace services it provides.
To the extent that any payment flow under these Terms is characterized under applicable law as the receipt of funds on behalf of a practitioner, each practitioner hereby expressly appoints CoverVet as the practitioner’s limited payments agent, solely for the purpose of receiving pay-rate payments from hospitals and settling those amounts to the practitioner as provided in these Terms. This appointment is limited to payment receipt and settlement; it does not make CoverVet the practitioner’s agent for any other purpose.
A hospital’s payment to CoverVet of any amount owed in connection with a confirmed shift fully discharges the hospital’s payment obligation with respect to that amount, regardless of when or whether CoverVet subsequently settles with the practitioner.
Amounts received by CoverVet are settled to practitioners in accordance with Section 5, and remain subject to the dispute procedures of Section 10, the cancellation and refund terms of Section 6, and any offsets expressly provided in these Terms. CoverVet does not hold funds in escrow, in trust, or in custody for any user, and no interest is owed to any user on amounts pending settlement.
6. Cancellations and refunds
Cancellation rights and refund amounts are governed by our Refund and Cancellation Policy, which forms part of these Terms.
7. Practitioner conduct
Practitioners agree to maintain current licensure, arrive at accepted shifts on time and in appropriate professional attire, practice within the scope of their license, and follow each hospital’s reasonable on-site policies. CoverVet does not employ practitioners; practitioners are independent contractors responsible for their own taxes, insurance, and licensure.
8. Hospital conduct
Hospitals agree to accurately describe shift conditions, provide a safe and lawful working environment, comply with all applicable labor and veterinary practice laws, and timely confirm shift completion or report disputes.
9. Verification and license records
CoverVet verifies practitioner credentials against state board records before allowing shift acceptance. Verification is a prerequisite for receiving payment. Misrepresentation of credentials is grounds for immediate account termination and possible legal action.
10. Disputes between users
CoverVet provides a dispute process for issues arising from a completed shift. A hospital may report an issue through the platform within twenty-four (24) hours of shift completion. Reporting an issue pauses the practitioner’s payout until CoverVet resolves it.
A dispute is limited to conduct affecting whether the shift was performed as booked — for example, a no-show, leaving materially early, or misrepresented credentials. Dissatisfaction with a practitioner’s performance, standing alone, is not a basis to dispute or withhold payment. Feedback about performance belongs in a review.
Both parties may submit a written account, and each party’s submission is visible to the other party and to CoverVet. CoverVet’s resolution decisions are final for marketplace purposes; nothing in these Terms limits a party’s rights to pursue independent legal remedies.
Payment-processing problems — including a bank draft that does not clear — are handled through support and account billing, not through this dispute process.
If a hospital’s bank returns or reverses a payment after it has been collected (for example, an ACH return), the payment authorization on file is invalidated and the linked bank account is disconnected. The hospital remains responsible for all amounts owed for services delivered, together with any bank-return fee assessed by our payment processor. By re-linking a bank account, the hospital authorizes CoverVet to automatically collect those outstanding amounts. A returned payment does not affect a practitioner’s payout for work performed; CoverVet recovers returned amounts from the hospital, not the practitioner.
11. Account suspension and termination
CoverVet may suspend or terminate any account for violations of these Terms, fraudulent activity, repeated cancellations, or any conduct that materially harms other users or the platform’s integrity. Practitioners may be subject to automatic temporary pauses based on cancellation patterns.
12. Limitation of liability
To the maximum extent permitted by law, CoverVet’s aggregate liability arising from or relating to your use of the platform shall not exceed the platform fees paid by or earned through your account in the twelve months preceding the claim. CoverVet is not liable for any indirect, consequential, special, or punitive damages.
13. Indemnification
You agree to indemnify and hold harmless CoverVet, its officers, directors, employees, and affiliates from any claim arising from your use of the platform, your conduct on a shift, your violation of these Terms, or your violation of any law.
14. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms shall be resolved in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction in those courts.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email and via in-app notice no fewer than thirty (30) days before they take effect. Continued use after that period constitutes acceptance.
